Introduction

These Terms govern the use of this Application and any other related Agreement or legal relationship with the Owner in a legally binding way. Capitalized words are defined in the relevant dedicated section of this document. The User must read this document carefully.

What The User Should Know At A Glance

  • Applicability: Some provisions may only apply to certain categories of Users (e.g., Consumers vs. Business Users). Such limitations are explicitly mentioned. In the absence of such mention, clauses apply to all Users.
  • Withdrawal: The right of withdrawal only applies to European and UK Consumers.
  • Auto-Renewal: This Application uses automatic renewal for Product subscriptions. Details on renewal periods and termination are found below.

Data Ownership & Usage

Your Data Belongs to You

All code, content, and data you provide to XHawk remains your property. We do not sell, license, or share your data with third parties. Your data is used solely to provide the services described on our website, including generating learning paths, code analysis, and AI-assisted features for your benefit.

What We Do:

  • Process your code and repositories to generate personalized learning paths
  • Analyze your codebase to provide intelligent code assistance and insights
  • Store your data securely to deliver the features you use
  • Collect basic usage telemetry (e.g., feature usage, performance metrics) to maintain and improve service reliability

What We Do NOT Do:

  • Sell your data to anyone
  • Share your code or content with third parties
  • Use your data for purposes other than providing the Service

Data Storage:

Only learning paths are stored along with code indexes as and when needed. Your code always stays in ephemeral containers with full isolation and is never persisted. You may delete your account and all associated data at any time from your account settings.

Terms of Use

Unless otherwise specified, these terms apply generally when using this Application.

Account Registration

To use the Service, Users must register or create a User account, providing all required data in a complete and truthful manner. Failure to do so will cause unavailability of the Service. Users are responsible for keeping login credentials confidential and safe. Users agree to be fully responsible for all activities that occur under their username and password. Users must immediately inform the Owner if they suspect their personal information or account has been violated.

Account Termination, Suspension and Deletion

Users can terminate their account at any time by contacting the Owner directly. The Owner reserves the right to suspend or delete User accounts at any time and without notice if deemed inappropriate, offensive, or in violation of these Terms. Suspension or deletion does not exempt the User from paying applicable fees.

Content on this Application

Unless otherwise specified, all content on this Application is owned by the Owner or its licensors. Users may not use such content in any way that is not necessary for the proper use of the Service. Specifically, Users may not copy, download, share, modify, sell, or create derivative works from the content, unless explicitly stated otherwise for personal, non-commercial use.

Acceptable Use

This Application may only be used within the scope of what it is provided for, under these Terms and applicable law. Users are solely responsible for ensuring their use violates no laws or third-party rights. The Owner reserves the right to take appropriate measures (including account termination and reporting to authorities) if Users violate laws, infringe rights, impair the Owner's legitimate interests, or offend the Owner or third parties.

Software License

The Owner grants Users a revocable, non-exclusive, non-sublicensable, and non-transferable license to use the software embedded in the Service. This license does not grant rights to access or disclose the original source code. All rights terminate upon expiration or termination of the Agreement.

API Usage Terms

Users accessing data via the API agree that the Owner bears no responsibility and shall not be held liable for any damages or losses resulting from the User's use of the API or third-party products accessing data through the API.

Terms and Conditions of Sale

Paid Products & Prices

Some Products are provided on the basis of payment. Prices, descriptions, and availability are outlined in the respective sections of the Application and are subject to change without notice. Prices are displayed either exclusive or inclusive of fees/taxes depending on the section.

Purchasing Process

The submission of an order determines contract conclusion and creates an obligation to pay the price, taxes, and fees. Users will receive a receipt confirming the order via email.

Methods of Payment

All payments are processed through third-party services. This Application does not collect payment information (such as credit card details) but only receives notification of completed payment. If a payment fails, the Owner is under no obligation to fulfill the order.

Retention of Ownership & Rights

Products do not become the User's property, nor does the User acquire usage rights, until the total purchase price is received by the Owner.

Delivery

Digital content is delivered via download or access on the device chosen by Users. Users acknowledge that the ability to download or use the Product may be limited in time and space and requires compatible devices/software.

Subscriptions & Automatic Renewal

Subscriptions allow Users to receive a Product continuously.

  • Fixed-term subscriptions start on the day payment is received and last for the chosen period.
  • Automatic Renewal: Subscriptions automatically renew for a period equal to the original term via the chosen payment method.
  • Termination: Users may cancel their subscription at any time directly from the account settings on our website. Users may also delete their account and all associated data at any time. Cancellation takes effect at the end of the current billing period.

User Rights (Withdrawal & Cancellation)

Right of Withdrawal (EU Consumers)

European Consumers have a statutory right to withdraw from online contracts within 14 days for any reason.

  • Expiration: The period expires 14 days after the User acquires physical possession of the goods (or the last lot of goods).
  • Exercise: Send an unequivocal statement of intention to withdraw to the Owner before the deadline.
  • Effects: The Owner will reimburse all payments (including standard delivery costs) without undue delay, no later than 14 days from being informed. Users must return goods within 14 days of communicating the withdrawal.

Right to Cancel (UK Consumers)

Consumers in the United Kingdom have a legal right to cancel online contracts within 14 days.

  • Expiration (Services): 14 days after the contract is entered into.
  • Effects: Reimbursement follows similar rules to EU withdrawal. If a service was requested to start during the cancellation period, the User must pay an amount proportional to the service provided up to the time of cancellation.

Guarantees & Liability

Guarantees

  • EU Law: Traders guarantee conformity of Digital Products for a minimum of 2 years (or the supply period if longer).
  • UK Law: Consumers have a right to receive goods in conformity with the contract.

Liability and Indemnification

Unless explicitly stated otherwise, the Owner's liability is excluded, limited, and/or reduced to the maximum extent permitted by applicable law.

  • Indemnification: The User agrees to indemnify and hold the Owner and its affiliates harmless from any claim or demand (including legal fees) made by any third party due to the User's violation of these Terms, third-party rights, or statutory provisions.
  • Limitation of Liability: Users have no right to claim damages against the Owner except for damages to life, health, physical integrity, or intent/gross negligence. The Owner is liable only to the extent of typical and foreseeable damages.

Australian Users

Nothing in these Terms excludes non-excludable rights under the Competition and Consumer Act 2010 (Cth). Liability for breach of a non-excludable right is limited, at the Owner's discretion, to re-performance of services or payment of the cost of having them supplied again.

US Users

  • Disclaimer of Warranties: The Service is provided "as is" and "as available." The Owner expressly disclaims all warranties, including merchantability and fitness for a particular purpose. The Owner does not warrant that the Service will be accurate, uninterrupted, or secure.
  • Limitation of Liability: To the maximum extent permitted by law, the Owner shall not be liable for indirect, punitive, incidental, special, or consequential damages. In no event shall the Owner's liability exceed the amount paid by the User to the Owner in the preceding 12 months.

Common Provisions

No Waiver

The Owner's failure to assert any right under these Terms shall not constitute a waiver of such right.

Service Interruption

The Owner reserves the right to interrupt the Service for maintenance or updates. The Owner may also suspend or discontinue the Service, cooperating with Users regarding personal data withdrawal where applicable.

Service Reselling

Users may not resell any portion of this Application without express written permission.

Intellectual Property Rights

Any IP rights (copyrights, trademarks, etc.) related to this Application are the exclusive property of the Owner or its licensors.

Changes to these Terms

The Owner reserves the right to modify these Terms at any time. Continued use signifies acceptance of the revised Terms.

Assignment of Contract

The Owner may transfer or assign rights/obligations under these Terms. Users may not assign rights without written permission.

Severability

If any provision is invalid or unenforceable, it shall not affect the validity of remaining provisions.

  • US Users: Invalid provisions will be reformed to the extent required to render them valid and consistent with original intent.
  • EU Users: Parties shall attempt to replace invalid provisions with valid ones. If they fail, applicable statutory provisions apply.

Governing Law & Venue

These Terms are governed by the law of the place where the Owner is based (San Francisco, CA, USA), without regard to conflict of laws principles.

Exception: If the User qualifies as a Consumer in Europe (EU, UK, Switzerland, Norway, Iceland), the venue of jurisdiction rules above do not apply, and higher applicable consumer protection standards of the User's country shall prevail.

Accessibility

The Owner is committed to accessibility. If Users with disabilities encounter issues, please provide a detailed description to the contact email for prompt resolution.

Dispute Resolution

Users may bring disputes to the Owner, who will try to resolve them amicably within 2 days.

Online Dispute Resolution (EU): The European Commission's ODR platform was discontinued as of July 20, 2025. Users are encouraged to contact the Owner directly.
